CapiPlan Software

Effective Date: 1 August 2025 

These Terms and Conditions (“Terms”) govern access to and use of the CapiPlan software platform and related services (the “Service”).

(“Company,” “we,” “us,” “our”) 

By accessing or using the Service, you agree to be legally bound by these Terms. 

You represent that

• • You are at least 18 years old; 
  • You have authority to bind the entity you represent; 
  • All information provided is accurate and complete.

You are responsible for: 

• • Maintaining account confidentiality; 
  • All activities under your account; 
  • Promptly notifying us of unauthorized access. 

We may suspend accounts containing false or misleading information. 

CapiPlan provides financial modeling, forecasting, and business planning software tools. 

We may modify, update, suspend, or discontinue features at our discretion. We do not guarantee uninterrupted or error-free availability.

4.1 Fees 

All subscription fees: 

• • Are payable in advance; 
  • Are non-refundable, except where required by UAE law; 
  • They are exclusive of VAT unless stated otherwise. 

No refunds, credits, or partial reimbursements shall be provided for unused periods, early cancellation, downgrades, or failure to use the Service. 

Refunds are not available following termination under Section 11. 

4.2 Permitted Use 

Subscription plans are

• • Non-transferable. 
  • Non-assignable; 
  • Not for resale or sublicensing. 

The Customer must use the plan solely for its own internal business purposes. 

Unauthorized sharing, resale, or commercial exploitation may result in suspension or termination under Section 11 without refund. 

4.3 Auto-Renewal 

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date through the account settings. 

By subscribing, you authorize us to charge the applicable renewal fees to your selected payment method. 

4.4 UAE VAT 

VAT shall be applied at the prevailing UAE rate (currently 5%) where applicable. 

Valid tax invoices will be issued in compliance with UAE VAT regulations. 

4.5 Late Payments & Failed Transactions 

If payment fails or is overdue: 

• • Access may be suspended; 
  • Access will be restored only upon full payment; 
  • We may recover reasonable collection costs.

4.6 No Chargebacks / Payment Disputes 

You agree not to initiate unjustified chargebacks or payment reversals. 

If a chargeback is initiated without valid legal grounds: 

• • We may immediately suspend access. 

• • The outstanding amount shall become immediately due. 

• • We reserve the right to recover administrative and recovery costs.

All rights, title, and interest in CapiPlan, including software, code, models, branding, and documentation, remain the exclusive property of Capi Plan LLC-FZ. 

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during your active subscription. 

All rights not expressly granted are reserved.

You retain ownership of content uploaded to the platform. 

You grant us a limited licence to host, process, and display such content solely to provide the Service. 

You shall not: 

• • Reverse engineer the software; 
  • Use the Service for unlawful purposes. 
  • Upload malicious code; 
  • Circumvent security features; 
  • Use the service for money laundering or unlawful financial activities. 

Violation may result in termination under Section 11. 

We process personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 (PDPL) and applicable regulations. 

We implement appropriate technical and organisational security measures. 

Users are responsible for ensuring lawful authority to upload personal data into the Service. 

Capi Plan LLC-FZ complies with applicable UAE laws including Federal Decree by Law No. (10) of 2025 Regarding Anti-Money Laundering, Combating the Financing of Terrorism and Proliferation Financing. 

Where applicable, we may: 

• • Conduct customer due diligence; 
  • Request identification and beneficial ownership information; 
  • Monitor usage for suspicious activity; 
  • Report to competent UAE authorities where legally required. 

Users must not use the Service for money laundering, terrorist financing, or proliferation financing. 

CapiPlan is a software tool only and does not provide UAE corporate tax advice under Federal Decree-Law No. 47 of 2022. 

Users are solely responsible for tax compliance and should seek independent professional advice. 

You may cancel your subscription at any time via account settings. 

We may suspend or terminate access if: 

• • You breach these terms. 
  • Payment is overdue. 
  • AML or compliance concerns arise; 
  • Unlawful activity is suspected. 

Upon termination: 

• • Access ceases immediately; 
  • No refunds shall be provided. 
  • We may delete stored data after a reasonable period. 

Termination does not relieve you of outstanding payment obligations. 

The service is provided “as is” and “as available.” 

We do not guarantee: 

• • Accuracy of forecasts; 
  • Investment outcomes; 
  • Regulatory compliance of outputs. 

CapiPlan does not constitute financial, legal, or tax advice. 

To the maximum extent permitted by UAE law: 

• • We are not liable for indirect or consequential losses. 
  • We are not liable for loss of profits or revenue. 
  • Our total liability shall not exceed the fees paid in the preceding 12 months. 

Nothing excludes liability for fraud or liability that cannot be legally excluded. 

We are not responsible for third-party integrations or external services.

We may update these Terms from time to time. 

Continued use of the Service constitutes acceptance of updated Terms. 

These Terms shall be governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. 

Any dispute shall be subject to the exclusive jurisdiction of the Courts of Dubai, United Arab Emirates.
